These Terms of Service ("Terms") govern your access to and use of SmartLite CRM (the "Service"), operated by [Company Legal Name, entity type, e.g. "Acme Software Inc., a Delaware corporation"] ("SmartLite", "we", "us", "our"). By creating an account, registering an organization, or otherwise using the Service, you agree to be bound by these Terms. If you are agreeing on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
1. The Service
SmartLite CRM is a multi-tenant, metadata-driven customer relationship management platform, accessible at app.smartlite.app. Each organization that registers gets an isolated tenant workspace; features, storage, and usage limits vary by subscription plan.
2. Accounts & Registration
- You must provide accurate, current information when registering an organization or user account, and keep it up to date.
- You are responsible for safeguarding your login credentials and for all activity under your account. Notify us immediately at support@smartlite.app if you suspect unauthorized access.
- The person or entity that registers an organization is the "Organization Administrator" and is responsible for managing user access within that organization, including deactivating users who should no longer have access.
- You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account.
3. Subscription Plans, Trials & Billing
- New organizations begin on a free trial. Trial length and what happens at trial expiry (suspension, downgrade, or required upgrade) is shown in-app and may change; we'll always tell you before your trial ends.
- Paid subscriptions are currently arranged directly with our team and billed via invoice, not automatic card charge — contact support@smartlite.app or use the contact form to set one up. If and when self-serve online payment becomes available, these Terms will be updated to cover automatic renewal, refunds, and payment-processor terms before that feature goes live.
- Fees are exclusive of applicable taxes unless stated otherwise. You're responsible for any taxes associated with your use of the Service, other than taxes on our net income.
- We may change plan pricing going forward; we won't change the price of your then-current subscription term without notice.
4. Acceptable Use
You agree not to:
- Use the Service to store or transmit unlawful, infringing, defamatory, or malicious content;
- Attempt to access another organization's data, probe, scan, or test the vulnerability of the Service, or circumvent tenant isolation or rate limiting;
- Reverse-engineer, decompile, or attempt to extract the source code of the Service, except where applicable law permits it;
- Use the Service to send unsolicited bulk email or engage in any activity that violates anti-spam laws;
- Resell or sublicense the Service without our prior written consent;
- Interfere with or disrupt the integrity or performance of the Service or the data it contains.
5. Your Data
- You (or your organization) own all data you submit to the Service ("Customer Data"). We do not claim ownership over it.
- You grant us a limited license to host, process, and transmit Customer Data solely to provide and support the Service.
- You are responsible for the accuracy, legality, and appropriateness of Customer Data you upload, including having the necessary rights and consents for any personal data of your own customers or contacts that you enter into the Service.

6. Custom Code & Uploaded Content
The Service allows administrators to build custom components, workflow scripts, and upload files/attachments. You are solely responsible for any code, scripts, or files your organization's users create or upload, and for ensuring they don't contain malicious content or infringe third-party rights.
7. Intellectual Property
The Service, including its software, design, and branding (excluding Customer Data), is owned by SmartLite and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks or branding without prior written consent.
8. Third-Party Services
The Service integrates with or relies on third-party infrastructure providers (for example: hosting, database, object storage, email delivery, and optionally AI providers your organization configures). Your use of any third-party service connected through the platform is also subject to that provider's own terms.
9. Service Availability
We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance, and may suspend access temporarily where reasonably necessary for security, legal compliance, or technical reasons. 10. Suspension & Termination
- You may stop using the Service and request account/organization deletion at any time by contacting support@smartlite.app.
- We may suspend or terminate your access if you materially breach these Terms, fail to pay for a paid subscription, or if we reasonably believe your use poses a security or legal risk to the Service or other tenants.
- Upon termination, we will retain Customer Data for a limited period to allow export, after which it may be deleted in accordance with our data retention practices described in the Privacy Policy.
11. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by applicable law.
12. Limitation of Liability
To the maximum extent permitted by law, SmartLite will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the Service. Our total liability for any claim arising from these Terms will not exceed the amount you paid us in the 12 months before the claim arose. 13. Governing Law
